The Company was incorporated as Adlabs Entertainment Private Limited on February 10, 2010 at Mumbai as a private limited company under the Companies Act, 1956, upon conversion of M/s. Dream Park (Dream Park), a partnership firm. Dream Park was a partnership firm formed under the provisions of Indian Partnership Act, 1932 through a partnership deed dated May 18, 2009 with registration number BA-10153 with our Promoters, among others, as partners. Subsequently, the partners of Dream Park, mutually agreed and transferred their interests by way of a resolution dated December 31, 2009 to convert into private company limited by shares having share capital of Rs. 1 million divided into 100,000 Equity Shares. Further, The Company was converted into a public limited company and consequently, the name of The Company was changed to Adlabs Entertainment Limited. A fresh certificate of incorporation pursuant to the change of name was issued by the RoC on April 27, 2010. The Company has 40 members as of the date of filing of this Red Herring Prospectus. The Company has undertaken Pre-IPO Placement post the filing of the DRHP, wherein on October 10, 2014, the Company allotted (i) 95 Equity Shares and 474,978 compulsorily convertible debentures of face value Rs. 1,000 each to NYLIM Jacob Ballas India Holdings IV; and (ii) 5 Equity Shares and 24,999 compulsorily convertible debentures of face value Rs. 1,000 each to Jacob Ballas Capital India Private Limited for an aggregate amount of Rs.500.00 million. This investment was made pursuant to the investment agreement dated October 8, 2014 entered into among the Company, Promoters, NYLIM Jacob Ballas India Holdings IV and Jacob Ballas Capital India Private Limited. On January 30, 2015, the 474,978 compulsorily convertible debentures issued to NYLIM Jacob Ballas India Holdings IV were converted into 2,539,989 Equity Shares and the 24,999 compulsorily convertible debentures issued to Jacob Ballas Capital India Private Limited were converted into 133,684 Equity Shares. Main Objects of the Company To carry on the business of conceptualizing, developing, planning, setting up, owning, managing, operating, acquiring, Amusement Parks, Entertainment Parks, Adventure Parks, Mythological Parks, Theme Parks, Spiritual Parks, to set up Entertainment Centers, Entertainment Arcades, Video Parlours, Bowling Alleys, Games Parlours, Sports Centers, Entertainment Software, to develop Tourist and Picnic Spots with or without boarding and lodging facilities and to provide all kinds of infrastructure and supporting services like Restaurants, Hotels, Caf‚, Taverns, Bars, Refreshment Rooms, Fast Food Outlets, Pubs, Inns, Health and Fitness Centers, Clubs, F & B Centers, Conference Rooms, Tourist and Taxi Services, Retail Malls, Entertainment Malls as may be necessary or expedient for conducting the aforesaid business of the company. Major events and milestones of the Company February 2010 - The Company was incorporated in the name and style of `Adlabs Entertainment Private Limited'. April 2010 - The Company was converted from a private limited company to a public limited company and consequently the name of our Company was changed to `Adlabs Entertainment Limited'. - The project of setting up the theme park by our Company was given the status of a megaproject by the Tourism and Cultural Affairs Department, Government of Maharashtra. March 2012 - The Company availed a loan from the Consortium Lenders. December 2012 - The outstanding loan amount under loan taken from Centrum Financial Services Limited was converted into 2,295,455 Equity Shares which were allotted at the price of Rs. 220 per Equity Share. August 2013 - India Advantage Fund invested an amount equal to Rs. 1,439,999,880 by subscribing to 1,439,999 Compulsorily Convertible Debentures of the Company and four Equity Shares. November 2013 - Imagica - The Theme Park commenced commercial operations. October 2014 - Aquamagica - the water park commenced commercial operations - NYLIM Jacob Ballas India Holdings IV and Jacob Ballas Capital India Private Limited invested an amount aggregating to Rs. 500.00 million by subscribing to 499,975 compulsorily convertible debentures of Rs. 1,000 each and 100 Equity Shares. 2020 -Company name has changed to Imagicaaworld Entertainment Ltd. from Adlabs Entertainment Ltd.. 2021 -"Imagicaaworld launches Virtual Queuing App for Entertainment Parks ". 2022 -Malpani Group Completes Acquisition of Imagicaaworld Entertainment Ltd. 2023 -Imagicaaworld launches Aquamagicaa in Surat  2024 -The Company Board approves acquisition of four operational parks in Maharashtra and one upcoming park in Indore. -The Company receive this prestigious award from the Bureau of Indian Standards.2025-"Imagicaaworld Entertainment Expands Footprint in Gujarat with Strategic Acquisition to Develop India s Largest Waterpark near Ahmedabad".
