Our Company was originally incorporated as Vardhman Hotels Private Limited on January 8, 2007, under the Companies Act, 1956, with the Registrar of Companies, NCT of Delhi and Haryana. The registration no. assigned to our Company was U15122DL2007PTC157520. The Company was converted into a Public Limited Company and the subsequently the name was changed to Vardhman Hotels Limited w.e.f July 28, 2007. The name of the Company was further changed to Asian Hotels (East) Limited w.e.f February 16, 2010 2007 Incorporated as Private Limited Company under the Companies Act, 1956 The Company became a wholly owned subsidiary of erstwhile M/s Asian Hotels Limited. The Company was converted into a Public Limited Company 2010 The Hon'ble High Court of Delhi at New Delhi, approved the Scheme of Arrangement/ De-merger between erstwhile M/s Asian Hotels Limited (Transferor Company) & its Shareholders & Creditors; M/s Chillwinds Hotels Limited (Transferee Company I) & its Shareholders and M/s Vardhman Hotels Limited (Transferee Company II) & its Shareholders. The above Scheme came into effect on filing of Form 42 of the Companies (Court) Rules, 1959 of the High Court in relation to the Scheme along with Form 21 with the Registrar of Companies, NCT of Delhi and Haryana pursuant to Clause 6.12 of the Scheme, whereby Kolkata undertaking of Transferor Company has been transferred to and vested in Transferee Company-II with effect from October 31, 2009 (i.e. the Appointed Date under the Scheme). The name of the Company was further changed to Asian Hotels (East) Limited -Registered Office of the Company has been shifted To Hyatt Regency Kolkata, JA-1, Section - III, Salt Lake City, Kolkata 700098 2011 -Asian Hotels (East) Ltd has recommended payment of dividend of Rs. 4.50 per equity shares i.e. 45% 2012 -Asian Hotels (East) Ltd has recommended payment of dividend of Rs. 4.50 per equity shares i.e. 45% 2013 - Board has recommended a Dividend of Rs. 4.50/- (45%) per fully paid-up equity shares of Rs. 10/- each 2014 - Board has recommended a Final Dividend of Rs. 3.00 (30%) per fully paid-up equity share of Rs. 10/- each. 2022 -The Company has issued Bonus Shares in the Ratio of 1:2.
